8.2 Licence to Process

By submitting Content and Farm Data to the Service, you grant the Company a non-exclusive, worldwide, royalty-free licence to access, use, process, store, reproduce, and display your Content and Farm Data solely for the purpose of providing, maintaining, improving, and supporting the Service. This licence is limited to what is technically necessary to deliver the Service and does not extend to any commercial exploitation of your data.

8.3 Aggregated and Anonymised Data

The Company may create aggregated and anonymised datasets derived from User Content and Farm Data, from which no individual User or Organisation can be identified. Such aggregated data may be used by the Company for research, analytics, product improvement, and statistical purposes. This use does not constitute a sale of your personal data.

8.5 Data Security

The Company implements commercially reasonable technical and organisational measures to protect your Content and Farm Data against unauthorised access, alteration, disclosure, or destruction. However, no method of electronic storage or transmission is completely secure, and the Company cannot guarantee absolute security. You acknowledge and accept this inherent risk.

9. AI Features Disclaimer

IMPORTANT NOTICE REGARDING AI-POWERED FEATURES

The AI features within the Service are powered by third-party artificial intelligence technology, including OpenAI, and are provided strictly for informational and advisory purposes only. They do not constitute professional agronomic, veterinary, financial, or legal advice.

9.1 Advisory Nature

All recommendations, predictions, analyses, and outputs generated by the AI Features ("AI Outputs") are advisory in nature and should be treated as supplementary information to support your decision-making. AI Outputs are not a substitute for professional agronomic advice, soil analysis, certified weather forecasts, veterinary consultations, or any other expert professional opinion.

9.2 No Guarantee of Accuracy

The Company does not warrant or guarantee the accuracy, completeness, reliability, or suitability of any AI Outputs. AI models may produce incorrect, incomplete, or misleading results. Factors such as data quality, environmental variability, model limitations, and changing conditions may affect the accuracy of AI Outputs.

9.3 User Responsibility

You assume full responsibility for any decisions made based on AI Outputs, including but not limited to planting decisions, pesticide and fertiliser application, livestock management actions, irrigation scheduling, harvest timing, and any other operational decisions. The Company expressly disclaims any liability for crop losses, livestock losses, financial losses, or any other damages arising from reliance on AI Outputs.

9.4 Data Sharing with AI Providers

When you use AI Features, certain Farm Data and queries may be transmitted to third-party AI providers (currently OpenAI) for processing. This data is transmitted securely and is subject to the applicable third-party provider's data processing terms. The Company takes reasonable measures to minimise the personal data shared with AI providers and to ensure compliance with applicable data protection regulations.

10. Third-Party Services

The Service integrates with and relies upon the following third-party services to deliver its functionality. Each third-party service is subject to its own terms of service and privacy policy, which you should review independently:

  • Stripe (Payment Processing): All payment transactions, including subscription billing, card processing, and refunds, are handled by Stripe, Inc. Your use of Stripe is subject to the Stripe Services Agreement. The Company does not store your full credit card details; all payment credentials are managed securely by Stripe in compliance with PCI DSS standards.
  • AgroMonitoring (Weather & Satellite Data): Weather forecasts, historical weather data, and satellite imagery are sourced from AgroMonitoring (OpenWeather). Data accuracy depends on the provider's systems and may be subject to delays or inaccuracies. The Company does not guarantee the accuracy or timeliness of weather or satellite data.
  • Cloudflare (CDN & Security): The Service utilises Cloudflare for content delivery, DDoS protection, SSL/TLS encryption, and web application firewall services. Your access to the Service is routed through Cloudflare's network.
  • OpenAI (AI Features): The AI-powered features of the Service utilise OpenAI's language models and APIs. Queries and contextual Farm Data may be transmitted to OpenAI for processing. The Company has entered into a data processing agreement with OpenAI and takes measures to minimise the transmission of personally identifiable information.

The Company is not responsible for the availability, accuracy, reliability, or performance of any third-party services. Any disruption, modification, or discontinuation of a third-party service may affect the functionality of the Service, and the Company shall not be liable for any resulting impact.

11. Data Processing

11.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal data and Farm Data. By using the Service, you consent to the data practices described in the Privacy Policy.

11.4 Data Retention

The Company retains your Content and Farm Data for as long as your Account is active or as needed to provide the Service. Upon Account termination, your data will be retained for a period of thirty (30) days to allow for data export, after which it will be securely deleted or anonymised, except where longer retention is required by applicable law or for legitimate business purposes such as dispute resolution.

12. Payment Terms

12.1 Payment Processing

All payments for the Service are processed through Stripe. By providing your payment information, you authorise Stripe to charge the applicable fees to your designated payment method. You represent and warrant that you are authorised to use the payment method provided and that the information is accurate and complete.

12.2 Currency

Subscription fees are displayed and charged in the currency indicated at the time of purchase. If your payment method is denominated in a different currency, your bank or card issuer may apply currency conversion fees at their prevailing exchange rate. The Company is not responsible for any exchange rate fluctuations or conversion charges imposed by your financial institution.

12.3 Taxes

Subscription fees are exclusive of all taxes, levies, or duties imposed by taxing authorities unless otherwise stated. You are responsible for paying any applicable taxes, including VAT, sales tax, or other transaction taxes, in connection with your Subscription. Where the Company is legally required to collect taxes, the appropriate amount will be added to your invoice.

12.4 Failed Payments

If a payment fails, the Company will attempt to process the payment again using the information on file. If payment cannot be successfully processed after reasonable retry attempts, your access to paid features may be suspended until a valid payment method is provided.

12.5 Refund Policy

Refund requests may be submitted within fourteen (14) days of a payment for annual Subscriptions and within seven (7) days for monthly Subscriptions, provided that the request is made by contacting the Company at [email protected]. Refunds are issued at the Company's reasonable discretion and will be processed through Stripe to the original payment method. Partial refunds may be issued on a prorated basis where appropriate. Refunds for unused portions of cancelled Subscriptions are not automatically provided; Users must affirmatively request a refund.
